P&P is pleased to have advised Real Consulting S.A. in connection with the share exchange agreement concluded with the existing shareholders of Open Technology Services S.A. (OTS) for the acquisition of 100% of OTS’ share capital.
The transaction, valued at approximately EUR 47 Million, will be implemented through the issuance by Real Consulting of new shares in the context of a share capital increase by way of an in-kind contribution of the OTS shares; upon completion, the existing OTS shareholders will receive the newly issued shares in exchange of their OTS shares.
The transaction together with the parallel placement of 32,56% by the company’s majority shareholder to significant investors is expected to strengthen Real Consultant’s role in the software and information technology sectors and enhance significantly its shareholder base.
